A Shareholders Agreement (SHA) is the most important contract in any Pvt Ltd company — it defines the commercial terms between founders, between founders and investors, and between investors of different rounds. Unlike the AoA (which is filed with ROC and is a public document), the SHA is private and far more detailed: it covers reserved matters, founder vesting, exit waterfall, liquidation preferences, anti-dilution, board observer rights, information rights, and dispute resolution.
